These terms of service ("Terms" or “Agreement” or “Terms of Use” or “Terms of Service”) is a legal agreement between you and Contracts, Law & More, and cover your use and access to the products, services, software, platform and websites (collectively, "Services") provided by Contracts, Law & More and any of our affiliates (collectively, "Contracts, Law & More”). Throughout the Website the terms “we”, “our”, "us", “I”, “Soskin Legal”, “LS Legal Services”, "Contracts, Law and More", "CLAM", "CLM" and “Lance Soskin” refer to Contracts, Law & More.

By accessing, browsing, viewing, registering, and/or using this website (“Website” or “Site”), you acknowledge that you have read, understood and agreed to comply with, and be legally bound by, all terms, conditions and notices contained in or referenced by these Terms. If you do not accept these Terms, you must not access or use this Website or our Services.

By using our Services, you agree to be bound by these Terms as well as our Privacy Policy. If you are using our Services as the employee or agent of an organization, you are agreeing to these Terms on behalf of that organization.

No Lawyer-Client Relationship

The presentation of information on the Website, or your use of or reliance upon such information, does not establish a lawyer-client relationship between you and Contracts, Law & More.

You should not rely on, or take or fail to take any action based on this information. Security and Confidentiality

Contracts, Law & More does not guarantee the confidentiality of any communication via e-mail or the Website that relates to a matter for which the firm does not already represent you. Email is never secure. The transmission of data or information over the internet or other forms of networks may not be secure, unless it is encrypted, and is subject to possible loss, interception or alteration while in transit. Contracts, Law & More does not assume any liability for any damage you may experience or costs you may incur as a result of any electronic transmissions over the internet, other forms of networks or otherwise while using the Services. Unless we have confirmed in writing that we represent or act for you, in no event will any information you provide on or through the Website be deemed to be confidential, create any fiduciary obligations to you on our part, or result in any liability to you on our part.



Any passwords and user ID’s used for the Website are for individual business use only. You will be responsible for the security of your password and user ID (if any). We will be entitled to monitor your password and user ID and may require you to change it and/or terminate your account. You further agree not to disclose your password or user ID to any other person.  Contracts, Law & More will not be responsible for the unauthorized use of your account by any other person and are under no obligation to confirm the actual identity of any password or user ID. You agree to notify us immediately upon becoming aware of any known or suspected unauthorized use of the your password or user ID to gain access to your account, or any breach of security, or if at any time your password or user ID is, or you believe it has been, lost, stolen, disclosed, or otherwise compromised, via our Contact page. Contracts, Law & More cannot and will not be liable for any loss or damage arising from your failure to comply with these provisions.


Ownership of Content

All materials displayed or otherwise accessible through the Website, except for content specifically created by a Client, or for a Client by Contracts, Law & More where you have paid for such Services (“Client Content”), including but not limited to text, graphics, videos, photos, trademarks, logos and other materials (collectively, "Content") are protected by copyright and trade-mark laws, and are owned by Contracts, Law & More and/or their licensors, or the party accredited as the provider of the Content. Except as granted in the limited license herein, any use of the Content, including modification, transmission, presentation, distribution, republication, or other exploitation of the Website or of any Content, whether in whole or in part, is prohibited without the express prior written consent of Contracts, Law & More. Your use of the Website and/or any Content does not grant or transfer to you any ownership or other rights in the Website and/or any Content, and except as expressly provided, nothing herein or within the Website and/or any Content shall be construed as conferring on you or any other person or entity any license under any Contracts, Law & More or any third party intellectual property or other rights. Any rights not expressly granted to you in this Agreement are expressly reserved.


Applicable Law

The laws of the province of Ontario and the laws of Canada shall govern all matters relating to the use of this Website and the Services and the interpretation, validity and effect of this Agreement, notwithstanding any conflict of laws principle or your domicile, residence or physical location. You hereby consent and submit to the exclusive jurisdiction of the courts of the province of Ontario in any action or proceeding related to this Website, this Agreement and the Services and you agree not to commence any action or proceeding except in Toronto, Ontario, Canada.


Limited License

Subject to the Terms, you are hereby granted a limited, fully revocable, non-transferable and non-exclusive license to access, view and use the Website for your personal, non-commercial use, and are granted the right to download, store and print single copies of items comprising the Content for your personal, non-commercial use, provided that you maintain all copyright, trade-mark and other notices contained in such Content. This limited license does not include any rights not specifically enumerated herein. Your limited license to use the Website and the Content is automatically revoked upon termination or expiration of this Agreement (whichever occurs first). You agree that you will not use the Website or any Content for any purpose that is unlawful.


Accuracy of Billing and Account Information

Contracts, Law & More reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel Services purchased per person, per organization, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing address.

You agree to provide current, complete and accurate purchase and account information for all purchases you make. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.


Modifications to the Services and Prices

Prices for our Services are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

Errors, Inaccuracies and Omissions

Occasionally there may be information on our Website or in the Service that contains typographical errors, inaccuracies or omissions. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders at any time without prior notice (including after you have submitted your order). Limitation of Liability

Subject to applicable law, in no event shall Contracts, Law & More, or any of its partners, employees, consultants, representatives, officers, directors, agents, or licensors (“Contracts, Law & More & Parties”) be liable for damages of any kind including, without limitation, any direct, special, indirect, punitive, incidental or consequential damages or any loss or damages in the nature of or relating to lost business, lost savings, lost data and/or lost profits, arising from your use of, reliance upon, or inability to use the Website, Content and/or the Services, regardless of the cause and whether arising in contract (including fundamental breach), tort (including negligence), or otherwise. The foregoing limitation shall apply even if Contracts, Law & More & Parties knew of or ought to have known of the possibility of such damages.

Subject to applicable law, the Website, the Content and the Services is provided "as is" and “as available”, without warranty or condition of any kind, either express or implied. Contracts, Law & More expressly disclaims all warranties and conditions, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, accuracy, completeness, or non-infringement in respect to the Website, the Content and the Services, to the fullest extent permissible under applicable law.


Release and Indemnity

To the fullest extent permissible under applicable law, you hereby agree to release Contracts, Law & More from, and in no event shall Contracts, Law & More be liable to you or any other person or entity, for any and all liabilities and damages (including any direct, indirect, special, exemplary or consequential damages, including lost profits) whatsoever or arising from your use of the Website (including any breach by you thereof), the Content, the Services or otherwise relating to this Agreement and you agree that your sole remedy for any claim, loss, damage, costs or expenses is to cease using the Website and the Content and the Services. You will indemnify and hold Contracts, Law & More harmless from and against any claims, losses, judgments, damages, costs and expenses (including without limitation, reasonable legal fees) incurred by them due to or resulting from your use of the Website, the Content, the Services or otherwise relating to this Agreement (including any breach by you thereof).

Contracts, Law & More treats personal information that you submit through this Website in accordance with its Privacy Policy. Please read and review our Privacy Policy which describes the privacy policies and practices of Contracts, Law & More in detail, as such policy may be amended from time to time. We advise you to check the Privacy Policy on a frequent basis for changes. By using a Website or providing us with personal information, you consent to the use of your Personal Information by Contracts, Law & More in accordance with the terms and for the purposes set forth in the Privacy Policy.

These links are provided solely as a convenience to you and not as an endorsement by Contracts, Law & More of the contents of such third-party websites. Contracts, Law & More is not responsible for the content of any third-party website, nor does it make any representation or warranty of any kind regarding any third-party website.


Consent to Receive Emails

By creating an account, you agree that you may receive communications from Contracts, Law & More, such as account reminders and updates. You also understand that you can remove yourself from these communications by clicking the "Unsubscribe" link in the footer of the actual email.


Validity of Electronic Signatures

Contracts, Law & More enables you to send and receive valid digital signatures under the 2000 U.S. Electronic Signature in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA) as adopted by individual states. 

You agree that the same legal rights and obligations occur with any electronic or digital signature as it would with a signature signed in ink by hand. You have an option to use an ink signature and unless otherwise stated you are satisfied that signing using an electronic or digital signature completes and binds documents in such a way that any change is detectable and that the signature is verifiable. You agree that electronic or digital delivery of documents is an acceptable means of delivering documents and the receiving party may rely on the receipt of such document so executed and delivered by electronic or digital means as if the original had been received.



Contracts, Law & More may, in its sole discretion, cancel or terminate your right to use of the Website, any Content, or any Service, at any time without notice. In the event of termination, you are no longer authorized to access the Website or Content or Services affected by such cancellation or termination. The restrictions imposed on you with respect to the Website, the Contents and the Services set out in this Agreement shall survive. Contracts, Law & More shall not be liable to any party for such termination.


Entire Agreement

Except for any other agreement in writing in respect of Content or Services, this is the entire agreement between you and Contracts, Law & More relating to your access and use of the Website, the Content and the Services.



If any term or provision of this Agreement is held by a court of competent jurisdiction to be invalid, it shall be severed and the remaining provisions shall remain in full force without being invalidated in any way.
